1. Acceptance of Terms

By accessing and using the services offered by Riverline, you agree to comply with and be bound by these Terms of Service (TOS). If you do not agree to the TOS, please do not use the service.

2. Modification of Terms

Riverline reserves the right, at its sole discretion, to change, modify, or revise these TOS at any time. All changes are effective immediately upon posting. Your continued use of the services following the posting of revised TOS means that you accept and agree to the changes.

3. Registration

Users may be required to register for an account to access certain features or areas of the Riverline website or app. During registration, users agree to provide accurate, current, and complete information.

4. Privacy Policy

Your submission of personal information through the website or app is governed by our Privacy Policy.

5. Service Use

Riverline grants you a limited, non-exclusive, non-transferable license to access and use the services for your personal and non-commercial use only.

6. User Conduct

You agree not to use the services in any way that is unlawful, could give rise to civil liability, or otherwise violate any applicable local, state, national, or international law or regulation.

7. Termination

Riverline reserves the right to terminate or suspend your account and access to the services, without notice, for conduct that Riverline believes violates these TOS or is harmful to other users of the services, Riverline, or third parties, or for any other reason.

8. Intellectual Property

All content, features, and functionality on the Riverline website or app are owned by Riverline , its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

9. Disclaimer of Warranties

The services and the content provided on or through the services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of Liability

In no event shall Riverline, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind arising out of or in connection with your use, or inability to use, the services.

11. Governing Law

These TOS, and any disputes arising out of or related to these TOS, the services, or the content shall be governed by and construed in accordance with the laws of the state without giving effect to its conflict of law principles.

Communications:

14.1. By engaging Riverline AI's services, the Client hereby authorises Riverline AI to communicate with the Client's borrowers, customers, and debtors ("Borrowers") by way of SMS, telephone calls, WhatsApp, and/or e-mails for the purpose of debt collection, payment reminders, settlement discussions, and loan resolution activities on behalf of the Client.

14.2. The Client acknowledges and consents that Riverline AI may deploy artificial intelligence (AI) systems, including but not limited to AI-powered voice agents, chatbots, and automated messaging systems, to communicate with Borrowers on the Client's behalf. The Client confirms that it has obtained or shall obtain all necessary consents, authorisations, and permissions from its Borrowers as required under applicable laws, including but not limited to RBI guidelines, TRAI regulations, and the Digital Personal Data Protection Act, 2023, prior to sharing Borrower data with Riverline AI.

14.3. The Client hereby consents to the monitoring, recording, transcription, and analysis of any and all communications between Riverline AI (or its AI systems, agents, employees, and representatives) and the Client's Borrowers. Such recordings and analyses shall be made available to the Client upon request and may be used for quality assurance, compliance, dispute resolution, and service improvement purposes.

14.4. The Client acknowledges that all communications made by Riverline AI to Borrowers shall be conducted in compliance with applicable RBI guidelines on debt collection practices, TRAI regulations on commercial communications, and any other relevant regulatory framework. Riverline AI shall not engage in any communication practices that are prohibited under applicable law.

14.5. The Client may request Riverline AI to cease communications with specific Borrowers by providing written notice. Riverline AI shall action such requests within a reasonable timeframe. Similarly, where a Borrower directly opts out or unsubscribes from communications, Riverline AI shall honour such request and notify the Client accordingly.

14.6. Riverline AI shall not be held liable for any claims, disputes, or complaints arising from communications made to Borrowers where the Client has failed to obtain the requisite consents or has provided inaccurate or outdated Borrower contact information.

BY USING RIVERLINE’S SERVICES OR ACCESSING THE Riverline WEBSITE OR APP, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
